I have noticed when I remove AC power and fail over to battery power ( I.e. going from 28vdc input voltage to 24vdc input) will cause multiple of my ws-12-dc switches to cold boot...
They are not loosing power... Why is this happening ?

The ws-12-dc is not designed to work directly off of batteries. That's why the 12-250-DC is more expensive, it conditions input power to stop the occasional brownout from happening.
Unless you're saying your batteries are regulated. Honestly, I need more information, can't just gaze into my crystal ball and read tea leaves regarding your setup.

As Julian said, these are meant to be powered by conditioned 48V as per:
I am surprised it even runs at 28V.
This unit is NOT our "SMART" DC to DC so it expect conditioned 48V DC input +/-. This switch is for sites that already have conditioned 48V. If you want the unit that accepts 9-60V DC input then you want the WS-12-250-DC

so, as i said earlier, i need more information about your setup, specifically power conditions during failover, to be of more assistance.
You say cold boot, what do you mean? The standard boot sequence is: Apply power -> ~10 seconds for DC-DC converter to wake up and apply power to board-> fans come on full -> full console crawl, takes about a minute -> applies power to POE loads.
Are you seeing that entire sequence, or is it just not passing traffic for ~30sec?
Hooked one up to my variable DC supply, went from 28-24v, was unable to duplicate..
